What this is — and isn't
Raise Coordinator is software that helps a company and the people assisting it organize a fundraise: research, lists, introductions, and status tracking. It is not investment advice, a recommendation of any investor, company, or transaction, or an offer to buy or sell securities. We are not acting as a broker-dealer or placement agent, and the service does not effect, negotiate, or facilitate any securities transaction — decisions and transactions happen entirely outside the service, between you and your counterparties.
Accounts
Access is by invitation. Keep your sign-in codes to yourself; you're responsible for activity under your account. We may suspend or remove accounts that break these terms or put other users' data at risk.
Confidentiality between members
Joining a raise gives you access to non-public information about a live fundraise — target lists, conversations, strategy, and status. You agree to use that information only to help that raise, to keep it confidential, and not to share it outside the raise's membership or use it for any other purpose (including your own or anyone else's investment decisions) without the raise owner's consent. This obligation survives leaving a raise.
Your content
You keep ownership of what you put in. You give us the license needed to operate the service on it — store it, show it to the raise members you've authorized, and process it with the AI services described in the privacy policy. Your imported network connections stay private to you as the privacy policy describes. We own the service and the aggregated, de-identified firm library the service maintains (firm names, coverage, and similar facts — never your private content or networks).
Acceptable use
Don't misuse the service: no scraping other members' data, uploading contacts you have no right to share, misrepresenting who you are, probing security, or using the service to send spam. Only upload contact data you may lawfully use.
No warranty; AI-generated content
The service is provided as-is, without warranties of any kind. Research results, suggested partners, priorities, check sizes, and drafted emails are generated in part by AI and will sometimes be wrong or out of date — verify anything you rely on. We don't guarantee availability or that data won't be lost; keep copies of anything critical.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost opportunities, or failed financings, arising from the service. Our total liability for any claim is capped at US $100. Some jurisdictions don't allow certain limitations, so parts of this may not apply to you.
Ending things
You can stop using the service and ask us to delete your account and data at any time. We can suspend or end the service (or your access) with reasonable notice where practical. Confidentiality obligations survive.
Changes and contact
If we change these terms materially we'll note it here and update the date above; continuing to use the service after a change means you accept it. These terms are governed by California law. Questions: caleb@bison.vc.
